Corporate Development Executive
Key Role:

Serve as an execution lead on all strategic transactions, including mergers and acquisitions, divestitures and equity investments. Support Corporate Development in negotiating and finalizing all transaction agreements, including Indications of interest, letters of intent, C-Suite and board approval presentations, and purchase agreements. Maintain responsibility for the optimal transaction structure from a business, legal, and tax perspective. Perform financial valuation reviews, including Discount Cash Flow (DCF), accretion, dilution, and comparable analysis. Manage the due diligence review process, including working closely with functional experts and outside consultants. Create the post-transaction integration and transition plan for each transaction. Provide structuring arrangements for divestitures, draft marketing materials, including teasers, offering memoranda, and management presentations.

Basic Qualifications:

-10+ years of experience with investment banking or corporate development

-Experience with leading merger and acquisition transactions in the government services market

-Knowledge of the dynamics of working with a business partner

-Ability to show a track record of successful deals
-BA or BS degree

Additional Qualifications:

-Possession of excellent oral and written communication skills

-Possession of excellent analytical, client relationship management, problem-solving, and critical thinking skills

-Top Secret clearance

-MBA degree preferred
